Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- “Khanthal”, “we”, “us”, “our” means the advisory firm operating under the name Khanthal, based at Block A, Level 6, Plaza Sentral, Jalan Stesen Sentral 5, 50470 Kuala Lumpur, Malaysia.
- “Website” means the website located at khanthalia.live and all pages therein.
- “Services” means the advisory services offered by Khanthal, including the Working Frame, Loom Pilot, and Continuous Counsel arrangements described on the Website.
- “Client”, “you”, “your” means any person or organisation that visits the Website or engages Khanthal under these Terms.
- “Engagement” means a specific advisory arrangement entered into between Khanthal and a Client, governed by an engagement letter and these Terms.
- “Content” means all text, documents, written frames, pilot records, and other materials produced or published by Khanthal.
- “Agreement” means these Terms and Conditions together with any applicable engagement letter.
Acceptance of Terms
By visiting this Website or making an enquiry, you acknowledge that you have read these Terms and agree to be bound by them. If you do not agree, please do not use this Website or engage our Services.
You confirm that you are at least 18 years of age and, where you are acting on behalf of an organisation, that you have the authority to bind that organisation to these Terms.
Service Description
Khanthal offers applied AI counsel to organisations in Malaysia and the surrounding region. Our Services take three forms, each described in full on our Solutions page:
- Working Frame — a short engagement to help a team set the frame around an applied AI question, concluding with a written document
- Loom Pilot — a structured small-scale prototype of a single applied question, conducted in close collaboration over several weeks
- Continuous Counsel — a 12-month retained advisory arrangement with monthly sessions and written quarterly reflections
We reserve the right to modify, suspend, or discontinue any Service at any time with reasonable notice. We do not warrant that the Website will be available without interruption.
User Responsibilities
When using the Website or engaging our Services, you agree to:
- Provide accurate and complete information in any enquiry or engagement context
- Treat all correspondence with Khanthal with appropriate professional care
- Not use the Website for any unlawful purpose or in any manner that could damage its functionality
- Not attempt to access any part of the Website or its underlying systems by any means other than ordinary browsing
- Not reproduce, distribute, or commercially exploit any content from this Website without prior written permission

Intellectual Property
All content on this Website — including text, structure, typography, and design — is the intellectual property of Khanthal or its licensors and is protected under Malaysian copyright law.
You are granted a limited, non-exclusive, non-transferable licence to view and print pages from this Website for your own personal or internal business reference. This licence does not permit you to publish, distribute, or commercially exploit any Website content without our prior written consent.
Written materials produced by Khanthal under an Engagement (such as written frames, pilot records, or counsel reflections) are provided to you for your internal use. Khanthal retains the underlying intellectual property in the methodologies, frameworks, and analytical approaches applied in producing those materials.
Payment Terms
Fees for our Services are set out in the engagement letter agreed between Khanthal and the Client. Indicative pricing in Malaysian Ringgit (RM) is shown on the Website for reference only and may be subject to adjustment at the time of engagement.
- Payment is due in accordance with the schedule set out in the engagement letter
- All fees are exclusive of applicable taxes, including Malaysian Service Tax where applicable
- Late payment may result in suspension of ongoing Services pending settlement
- Fees paid for a commenced engagement are non-refundable except where Khanthal is unable to deliver the agreed Service through no fault of the Client
Service-Specific Terms
Working Frame: The written frame produced at the conclusion of this engagement is advisory in nature. It sets out a considered view of the question at hand and what would be reasonable to attempt; it is not a directive or a guarantee of outcome. The Client retains full discretion in how they proceed.
Loom Pilot: The pilot is conducted as a piece of learning and is not intended for deployment to live operations. Khanthal makes no representation as to the performance of any prototype beyond the scope of the pilot itself. Changes to the scope of the pilot require written agreement from both parties.
Continuous Counsel: The counsel operates in an advisory capacity only. It does not assume any operational, executive, or governance role within the Client organisation. The 12-month term commences on the date of execution of the engagement letter and may be renewed by mutual agreement.
In all engagements, Khanthal observes reasonable confidentiality with respect to information shared by the Client and expects the same in return with respect to our methodologies and written deliverables.
Disclaimers
This Website and its content are provided on an “as is” basis. Khanthal makes no representations or warranties, express or implied, as to the accuracy, completeness, or fitness for purpose of any content on the Website.
Our advisory Services are offered as a considered outside perspective. We do not warrant any particular result or outcome from any engagement. The decisions taken by a Client on the basis of our counsel remain the Client's responsibility entirely.
Nothing on this Website constitutes legal, financial, technical, or regulatory advice. Where such advice is required, we recommend the Client consult appropriately qualified professionals.
Limitation of Liability
To the fullest extent permitted by Malaysian law, Khanthal's aggregate liability to a Client in connection with any Engagement shall not exceed the total fees paid by that Client under the relevant engagement letter.
Khanthal shall not be liable for any indirect, consequential, or incidental loss, including loss of profit, loss of data, or loss of business opportunity, arising from the use of our Services or this Website, even if we have been advised of the possibility of such loss.
Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot lawfully be excluded.
Termination
Either party may terminate an Engagement by giving 30 days' written notice, unless the engagement letter specifies otherwise. In the event of termination by the Client, fees for work completed to the date of termination remain due. In the event of termination by Khanthal without cause, we will refund any fees paid in advance for work not yet commenced.
On termination, clauses relating to intellectual property, confidentiality, limitation of liability, and dispute resolution shall survive and continue in effect.
Dispute Resolution
These Terms and any Engagement are governed by the laws of Malaysia. Any dispute arising from or in connection with these Terms shall first be referred to senior representatives of both parties for informal resolution within 30 days of written notice of the dispute.
If the dispute cannot be resolved informally within that period, either party may refer it to mediation under the rules of the Asian International Arbitration Centre (AIAC), Kuala Lumpur. The courts of Malaysia shall have non-exclusive jurisdiction over any dispute not resolved by mediation.
General Provisions
- Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties and supersede all prior representations or understandings.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force.
- Waiver: Failure by either party to enforce any provision shall not constitute a waiver of that provision.
- Assignment: The Client may not assign their rights or obligations under these Terms without prior written consent from Khanthal. Khanthal may assign its obligations with reasonable notice to the Client.
- Notices: Formal notices should be sent in writing to the addresses specified in the engagement letter, or by email to [email protected].
Changes to These Terms
Khanthal may revise these Terms from time to time. When a material change is made, the “Last Updated” date at the top of this page will be updated accordingly. For active engagements, we will notify the Client in writing of any change to the Terms that affects their engagement before it takes effect.
Continued use of the Website following a revision constitutes acceptance of the updated Terms. If you do not accept the revised Terms, please cease use of the Website and contact us to discuss any active engagement.
